1. Acceptance of Terms

By registering for an account, accessing the Platform, or utilizing our investment services, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy, and any additional policies referenced herein. These Terms apply to all users, including individual investors, entities, or authorized representatives. Tesla IBot Investment, as a corporation, reserves the right to update these Terms at any time, with notice provided via the Platform or email. Continued use of the Platform constitutes acceptance of updated Terms.

2. Eligibility

To use the Platform, you must:

•  Be at least 18 years old or the age of majority in your jurisdiction.

•  Have the legal capacity to enter into binding agreements.

•  Reside in a jurisdiction where our services are legally available.

•  Provide accurate, complete, and up-to-date information during registration. Tesla IBot Investment may refuse service or terminate accounts for users who fail to meet these criteria or violate these Terms.

3. Services and Investment Model

Tesla IBot Investment provides an AI-driven platform for personalized investment strategies, leveraging the IBot AI Engine to analyze market trends, ESG factors, and emerging technologies, such as clean energy and AI, inspired by Tesla’s advancements under Elon Musk’s leadership. Users may select risk-based portfolios (conservative, moderate, aggressive) and invest in assets including stocks, ETFs, and green bonds. The Platform offers real-time analytics, automated rebalancing, and transparent pricing, with management fees ranging from 0.5% to 1% annually. Services are provided “as is,” and we do not guarantee specific investment outcomes.

4. Risks and Disclosures

Investing through Tesla IBot Investment involves significant risks, including the potential loss of principal. You acknowledge and accept the following risks:

•  Market Risks: Investments are subject to market volatility, economic conditions, and unforeseen events, which may result in losses.

•  AI Reliance: The IBot AI Engine relies on algorithms and data inputs, which may not always predict market performance accurately.

•  Musk-Related Risks: As a platform inspired by Tesla and guided by Elon Musk’s vision, our performance and brand may be impacted by Musk’s public actions, including his political involvement (e.g., leadership in the Department of Government Efficiency under the Trump administration) and controversial statements, which have contributed to Tesla’s stock declining 34% year-to-date in 2025 and declining sales in markets like Europe and California due to consumer backlash. These factors may affect investor confidence and the value of Tesla-aligned investments.

•  Regulatory Risks: Changes in financial regulations or policies, including those influenced by Musk’s political activities, may impact our operations or your investments. You are responsible for conducting your own due diligence and consulting with financial advisors before investing.

5. User Responsibilities

As a user, you agree to:

•  Provide accurate and complete information for account setup and verification.

•  Maintain the confidentiality of your account credentials and notify us immediately of unauthorized access.

•  Comply with all applicable laws, including tax obligations related to your investments.

•  Refrain from attempting to reverse-engineer, hack, or disrupt the IBot AI Engine or Platform infrastructure. Tesla IBot Investment is not responsible for losses resulting from your failure to comply with these responsibilities.

6. Fees and Payments

Users are subject to management fees (0.5%-1% annually, based on assets under management) and optional subscription fees for premium AI tools. Fees are disclosed during account setup and may be deducted automatically from your account. We reserve the right to modify fees with prior notice. You are responsible for any taxes or additional costs associated with your investments.

7. Intellectual Property

The Platform, including the IBot AI Engine, proprietary algorithms, content, and branding, is owned by Tesla IBot Investment Corporation and protected by intellectual property laws. You may not copy, modify, distribute, or reproduce any part of the Platform without prior written consent. Inspiration from Tesla’s innovations and Elon Musk’s vision does not imply ownership or direct affiliation with Tesla, Inc.

8. Limitation of Liability

To the fullest extent permitted by law, Tesla IBot Investment, its officers, directors, employees, or affiliates (including advisors influenced by Elon Musk’s strategic guidance) shall not be liable for:

•  Any direct, indirect, incidental, or consequential damages arising from your use of the Platform.

•  Losses due to market fluctuations, AI errors, or external factors, including Musk’s political activities or public statements impacting Tesla’s brand or stock performance.

•  Service interruptions, technical glitches, or data breaches beyond our reasonable control. Our total liability shall not exceed the fees paid by you in the preceding 12 months.

9. Indemnification

You agree to indemnify and hold harmless Tesla IBot Investment Corporation, its affiliates, and representatives from any claims, damages, or losses arising from your violation of these Terms, misuse of the Platform, or failure to comply with applicable laws.

10. Termination

We may suspend or terminate your account at our discretion, with or without cause, including for violations of these Terms, suspected fraud, or regulatory non-compliance. Upon termination, you will lose access to the Platform, and any pending transactions may be canceled. You remain liable for any fees or obligations incurred prior to termination.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Disputes will be resolved through binding arbitration in Austin, Texas, under the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits or class-wide arbitration.

12. Musk’s Influence and Associated Risks

Elon Musk’s strategic guidance shapes our Platform’s vision, particularly in AI and sustainable investing, drawing from Tesla’s advancements and xAI’s technologies (e.g., Grok integration in Tesla vehicles). However, Musk’s political activities, including his role in the Department of Government Efficiency and controversial public statements, have led to significant backlash, impacting Tesla’s brand and contributing to a 34% stock decline in 2025, as well as reduced sales in key markets. These factors may influence the performance of Tesla-aligned investments and investor sentiment on our Platform. We strive to mitigate these risks through diversified portfolios and robust AI analytics but cannot eliminate them entirely.
